Acceptance of Terms

By accessing, browsing, or using this website, or by engaging the services of DRSHYTEC Solutions Pvt. Ltd., you acknowledge that you have read, understood, and agree to be legally bound by these Terms of Use and all applicable laws and regulations.

If you do not agree with any part of these Terms, you must immediately discontinue use of our website and services. Your continued use constitutes your ongoing acceptance of these Terms, including any updates we may make from time to time.

These Terms apply to all visitors, clients, and any others who access or use our services — whether as an individual or on behalf of an organisation.

Scope of Services

DRSHYTEC Solutions provides a comprehensive range of IT, media, advertising, and technology services. Our core service offerings include:

All services are subject to availability and the specific scope, timelines, and deliverables defined in a mutually executed Statement of Work (SOW) or Project Brief. DRSHYTEC Solutions reserves the right to modify or discontinue any service at its discretion.

Project Deliverables & Revisions

For each agreed project, DRSHYTEC Solutions shall provide the following standard deliverables:

• One (1) initial project draft or first concept for client review
• Up to three (3) rounds of revisions based on structured client feedback
• Final project files in agreed formats (e.g., print-ready, web-optimised, source files)
• Mockup and presentation files as applicable to the project type
• Any additional deliverables explicitly specified in the applicable SOW

Intellectual Property & Content License

All content, designs, source files, graphics, logos, and creative materials produced under this Agreement remain the intellectual property of DRSHYTEC Solutions Pvt. Ltd. until full payment has been received.

Upon receipt of complete payment, ownership of final deliverables (but not the underlying tools, templates, or proprietary processes) transfers to the client as specified in the applicable SOW. A non-exclusive, non-transferable licence is granted to use deliverables solely for the agreed purposes.

The client shall not:

• Claim original authorship or ownership of any DRSHYTEC materials
• Modify, reproduce, or redistribute deliverables without explicit written consent
• Sublicense any content to third parties without prior written approval
• Use any content for offensive, defamatory, unethical, or unlawful purposes
• Use content in a manner that infringes on applicable laws or regulations

DRSHYTEC Solutions retains the right to display all deliverables in its portfolio, website, social media, and promotional materials unless the client requests confidentiality in writing prior to project commencement.

All content, designs, and materials displayed on the drshytec.com website are the intellectual property of DRSHYTEC Solutions. Unauthorised use, reproduction, or distribution is strictly prohibited.

Non-Disclosure & Confidentiality

Both parties agree to hold in strict confidence all non-public, proprietary, or sensitive information exchanged during the course of engagement, including but not limited to: business plans, marketing strategies, client lists, pricing, financial data, technical data, software, designs, and intellectual property.

Confidentiality obligations shall remain in effect for three (3) years from the effective engagement date and shall survive termination. Upon termination, both parties agree to return or destroy all confidential materials and certify such destruction in writing upon request.

These obligations do not apply to information that: (a) becomes publicly available without fault; (b) was already known to the receiving party; (c) is lawfully received from a third party without restriction; or (d) is required to be disclosed by law or court order.

Digital Marketing Compliance

All marketing campaigns and content produced by DRSHYTEC Solutions shall adhere to the following standards:

• Advertising Standards: All campaigns comply with the Advertising Standards Council of India (ASCI) Code and applicable regulations. All claims must be truthful, substantiated, and non-misleading.
• Data Protection: Both parties comply with the IT Act 2000 and, where applicable, GDPR. Explicit user consent is obtained before collecting personal data.
• Content Accuracy: All content must be accurate, current, and aligned with the client's brand. Sponsored content and partnerships shall be disclosed transparently.
• Prohibited Tactics: Clickbait, false claims, misleading imagery, deceptive SEO, or any form of unethical digital marketing is strictly prohibited.
• Social Media: All social media content complies with platform-specific guidelines and applicable laws. Feedback and compliance concerns are addressed promptly.
• IP Compliance: DRSHYTEC verifies ownership and obtains all necessary licences for third-party content including images, music, video, and software.

User Responsibilities & Client Obligations

By using our website or engaging our services, you agree to the following responsibilities:

You agree not to misuse our website, attempt unauthorised access, transmit malicious code, or engage in any activity that could harm, disrupt, or compromise the integrity of our systems or services.

Term & Termination

Engagements commence on the agreed effective date and continue until completion of all services in the applicable SOW, unless earlier terminated as follows:

• Termination for Convenience: Either party may terminate by providing 14 days' written notice to the other party.
• Immediate Termination by DRSHYTEC: We reserve the right to immediately suspend or terminate services, with written notice, in the event of non-payment, persistent late payment, material breach, abusive conduct, or the client's insolvency.
• Effect of Termination: The client shall pay for all work completed to the date of termination. DRSHYTEC shall deliver completed work upon receipt of all outstanding payments.
• Survival: All confidentiality, intellectual property, payment, and indemnification obligations survive termination of this agreement.

We also reserve the right to suspend or terminate access to our website at any time, without prior notice, for conduct that violates these Terms.

Warranties & Representations

DRSHYTEC Solutions warrants that:

• All services shall be performed with reasonable professional skill and care
• All deliverables are original and do not infringe any third-party intellectual property rights
• DRSHYTEC has full authority to enter into and perform all engagements
• All third-party materials incorporated into deliverables are properly licensed

The client represents and warrants that:

• It has full legal authority to enter into the engagement
• Any materials provided to DRSHYTEC do not infringe any third-party rights
• All deliverables will be used in full compliance with applicable laws and regulations

Dispute Resolution & Governing Law

In the event of any dispute or disagreement arising from these Terms or any service engagement, the parties agree to first attempt resolution through good-faith negotiation within 30 days of written notice of the dispute.

If negotiation fails, disputes shall be submitted to binding arbitration or the appropriate courts of jurisdiction in Maharashtra, India. These Terms shall be governed by and construed in accordance with the laws of India.

Nothing in this clause prevents either party from seeking emergency injunctive relief from a court of competent jurisdiction where necessary to protect proprietary rights or confidential information.

General Provisions

• Entire Agreement: These Terms, together with any applicable SOW, constitute the entire agreement between the parties and supersede all prior understandings, whether written or oral.
• Amendments: No amendment to these Terms is valid unless made in writing and agreed upon by both parties. DRSHYTEC Solutions may update these Terms at any time; continued use constitutes acceptance of the revised terms.
• Severability: If any provision is found to be unenforceable or invalid, the remaining provisions shall continue in full force and effect.
• Waiver: Failure by either party to enforce any right under these Terms shall not constitute a waiver of that right.
• Force Majeure: Neither party is liable for delays or failure to perform due to causes beyond their reasonable control, including natural disasters, government actions, pandemics, or internet outages. Affected parties shall notify the other promptly.
• Notices: All formal notices shall be in writing and delivered via email (with read receipt confirmation) or registered post to addresses on record.
• Privacy: Your use of this website is also governed by our Privacy Policy, which outlines how we collect, use, and protect your personal information.
